These Terms of Service ("Terms") govern your use of the website at https://larson.help and any consulting or related services provided by Larson Consulting LLC ("Larson Consulting", "we", "us"). By using the website, contacting us, or engaging us for services, you agree to these Terms and our Privacy Policy.
Larson Consulting provides AI automation consulting and related software development services to small businesses. Typical engagements include lead response automation, document search, workflow automation, and similar integrations. The specific scope, deliverables, timeline, and pricing of any engagement will be agreed in writing (email is acceptable) before work begins.
Each engagement is scoped on a per-project basis. Unless otherwise agreed in writing:
Invoices are due net 15 days from invoice date. Late payments may incur a finance charge of 1.5% per month on the unpaid balance, or the maximum allowed by Pennsylvania law, whichever is lower. We reserve the right to suspend work or services if payment is more than 30 days overdue.
On full payment for a deliverable, you receive a perpetual, non-exclusive license to use that deliverable in your business. Larson Consulting retains ownership of any pre-existing tools, libraries, frameworks, prompts, or methodologies that we developed prior to or outside the scope of the engagement, and we may reuse those in other engagements. Open-source components are licensed under their respective licenses.
We treat your business information as confidential. We will not share your business data, customer lists, internal processes, or other non-public information with third parties except as required to deliver the services, as required by law, or with your written consent. A formal NDA can be put in place on request.
To the maximum extent permitted by law, Larson Consulting's total liability for any claim arising out of or related to the services is limited to the fees paid by you for the specific engagement giving rise to the claim during the three months preceding the claim. We are not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits or business interruption.
The services and any deliverables are provided "as is" without warranties of any kind, express or implied, except as explicitly stated in a written engagement agreement.
You agree not to use the website or any services we provide for any unlawful purpose, to harass others, to send spam, to attempt to circumvent security, or to interfere with the operation of our systems. We reserve the right to suspend or terminate access for violations.
Some deliverables integrate with third-party services (cloud hosting providers, AI model providers, scheduling tools, communication platforms, etc.). Your use of those services is subject to the terms of the respective providers. We do not warrant the availability or behavior of third-party services.
Either party may terminate an engagement for material breach if the breach is not cured within 30 days of written notice. On termination, you remain responsible for fees for work performed up to the termination date. Monthly support engagements may be canceled with 30 days' written notice by either party.
These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-law principles. Any dispute arising out of or related to these Terms or the services shall be brought in the state or federal courts located in Washington County, Pennsylvania, and you consent to the personal jurisdiction of those courts.
We may update these Terms from time to time. Material changes will be posted on this page with an updated revision date. Continued use of the website or services after a change constitutes acceptance of the updated Terms.
